End User Licence Agreement
The terms under which you may install and use the Cybrshield software.
1. Scope
This End User Licence Agreement ("EULA") governs your installation and use of the Cybrshield software (the "Software"), including the Windows endpoint agent, the kernel-mode minifilter driver, and the management application, provided by Cyberlight Ltd. The Software is part of the Cybrshield platform, and your use of it is also subject to our Terms of Service. Where this EULA and the Terms of Service conflict in relation to the Software, this EULA prevails.
2. Licence Grant
Subject to your compliance with this EULA and the Terms of Service, and to your active subscription and licensed seat count, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to install and use the Software on devices you are authorised to manage, solely for your internal use of the Service.
3. Restrictions
You must not, and must not permit any third party to:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or internal design of the Software, including the agent and driver, except to the extent this restriction is prohibited by law;
- copy, redistribute, sell, rent, lease, sublicense, or otherwise make the Software available to any third party except as expressly permitted;
- circumvent, disable, or tamper with seat enforcement, licensing, or other usage or access controls;
- remove, obscure, or alter any proprietary notices in the Software;
- use the Software other than as permitted by this EULA, the Terms of Service, and our Acceptable Use Policy.
4. System Software, Driver & Updates
The Software installs a kernel-mode driver and system-level components. As with any such software, defects, updates, or incompatibilities could affect the stability, availability, or performance of a device or fleet. The agent is designed to fail open so that, if it cannot reach the Service within its verdict timeout, execution is permitted rather than blocked.
The Software may update itself automatically, including through phased rollout stages, to deliver fixes, improvements, and security updates. By using the Software, you consent to these automatic updates. You are responsible for testing and validating the effect of policies and updates in your environment before relying on them in production.
5. Ownership
The Software is licensed, not sold. All right, title, and interest in and to the Software, including all intellectual-property rights, remain with Cyberlight Ltd and its licensors. This EULA grants you no rights other than the licence expressly set out above. The Software may include third-party components that are governed by their own licence terms.
6. Term & Termination
This EULA applies for as long as you use the Software. Your licence ends automatically if your subscription ends or if you breach this EULA or the Terms of Service. On termination, you must stop using and uninstall the Software from all devices. Provisions that by their nature should survive termination will survive.
7. Warranty Disclaimer & Limitation of Liability
The Software is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. No security product is 100% effective, and we do not warrant that the Software will prevent any particular execution, breach, infection, data loss, or damage. Our liability in connection with the Software is subject to the disclaimers and limitations of liability set out in the Terms of Service, including the aggregate liability cap set out there. Nothing in this EULA limits the statutory rights of a consumer that cannot be excluded by law.
8. Export Compliance
You must comply with all applicable export-control and sanctions laws in your use of the Software, and you confirm that you are not located in, or acting on behalf of anyone located in, a territory subject to a comprehensive embargo that would prohibit your use of the Software.
9. Governing Law & Contact
This EULA is governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales. For licensing questions, contact us at [email protected].
